1. Acceptance of Terms

By accessing or using the Redifund website (www.redifund.com) and any associated client portals, tools, or services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Services.

2. Description of Services

Redifund is a business financing broker platform, NOT a direct lender. We provide software and brokerage services designed to connect businesses with a network of potential third-party lenders and financial institutions. Redifund does not originate loans or make credit decisions. We do not guarantee that your application will be approved by any lender, nor do we guarantee any specific loan terms, interest rates, or funding amounts.

3. Eligibility

To use our Services, you must be at least 18 years of age and reside in the United States. Furthermore, if you are applying for financing on behalf of a business, you represent and warrant that you are a legally authorized representative of that business entity with the authority to bind the entity to these terms and to apply for commercial financing on its behalf.

4. User Accounts

To access certain features of the Services, such as our client portal, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are strictly responsible for safeguarding your password and for all activities that occur under your account. Redifund will not be liable for any loss or damage arising from your failure to protect your login credentials.

5. Application Submissions

When you submit a financing application through Redifund, you certify that all information provided is accurate and truthful.

• Consent to Share: You explicitly consent to Redifund sharing your application data, including personal, business, and financial information, with our network of lending partners to facilitate potential financing offers.
• Credit Authorization: You authorize Redifund and its prospective lending partners to obtain your credit report, background checks, and other relevant data from credit reporting agencies to evaluate your eligibility for business financing.

6. Prohibited Uses

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

• Providing false, forged, or misleading information or documentation.
• Attempting to defraud Redifund or any of our lending partners.
• Interfering with or disrupting the security, integrity, or performance of the Services.
• Accessing or attempting to access data not intended for you.
• Transmitting unsolicited emails, spam, or malicious software.

7. Intellectual Property

All content, trademarks, logos, features, and functionality on the Redifund platform are the exclusive property of Redifund and are protected by United States and international copyright, trademark, and intellectual property laws. You may not copy, modify, distribute, or reproduce any part of our platform without our prior written consent.

8. Third-Party Links and Services

Our Services may contain links to third-party websites or services that are not owned or controlled by Redifund (including those of our lending partners). Redifund has no control over, and assumes no responsibility for, the content, privacy policies, terms, or practices of any third-party lender or service. Any transaction or agreement you enter into with a third-party lender is strictly between you and that lender.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. REDIFUND EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. Redifund makes no warranty that the services will meet your requirements, that you will obtain financing approval, or that the platform will be uninterrupted, timely, secure, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REDIFUND, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Redifund and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Services, including, but not limited to, fraudulent application data submitted by you.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

13. Dispute Resolution/Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Phoenix, Arizona. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Commercial Arbitration Rules.

14. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Services after those revisions become effective constitutes your agreement to the revised terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Redifund regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.
